Terms and Conditions – SMS Messaging Service

  1. Agreement to Terms

By opting in to receive text messages from Proos Manufacturing (“Company,” “we,” “us,” or “our”), you (“Recipient,” “you,” or “your”) agree to these Terms and Conditions. If you do not agree, do not opt in and do not respond to opt-in prompts.

  1. Program Description

Proos Manufacturing operates an internal SMS/MMS messaging program for the purpose of:

  • Employee communications 
  • Internal alerts
  • Operational updates
  • Event notifications

Message frequency will vary. You may receive up to 5 messages per week.

  1. Consent and Opt-In

By enrolling in this program (via web form, keyword SMS, written consent, or other documented method), you expressly consent to receive autodialed and/or pre-recorded text messages at the mobile number you provided. This consent is governed by the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and applicable FCC regulations.

Consent is not required as a condition of employment.

  1. How to Opt Out

You may opt out at any time by:

  • Replying STOP to any message from this program.
  • Contacting us directly at HR@proos.com

Upon receipt of a STOP request, we will send one final confirmation message and cease all further messages, except as required by law. Opting out of one message category does not opt you out of all categories unless you specify.

  1. Message and Data Rates

Message and data rates may apply. These charges are determined by your mobile carrier and plan. Proos Manufacturing is not responsible for charges imposed by your carrier.

  1. Supported Carriers

This service is available on most major U.S. carriers including AT&T, T-Mobile, Verizon, and others. Carrier availability may vary. We are not liable for delays or failures in message delivery caused by carrier networks.

  1. TCPA Compliance

We comply with all requirements of the Telephone Consumer Protection Act (TCPA) and FCC regulations, including:

  • Obtaining prior express written consent before sending messages using an automated telephone dialing system (ATDS) or pre-recorded voice.
  • Honoring opt-out requests promptly (within one business day).
  • Maintaining records of all consents and opt-outs for a minimum of four (4) years.
  • Including required disclosures in opt-in confirmations (program name, message frequency, opt-out instructions, help instructions, and carrier disclosure).
  1. Prohibited Uses

You agree not to:

  • Provide false or inaccurate contact information.
  • Use this service to harass, threaten, or harm any individual.
  • Attempt to reverse-engineer or interfere with the messaging platform.
  • Use this service in violation of any applicable law or regulation.
  1. Disclaimer of Warranties

THE MESSAGING SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR TIMELY DELIVERY OF MESSAGES. MESSAGE DELIVERY IS SUBJECT TO CARRIER AVAILABILITY AND NETWORK CONDITIONS.

  1. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, [YOUR COMPANY NAME] SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON THIS MESSAGING SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED [AMOUNT / OR: THE AMOUNT PAID, IF ANY, FOR THE SERVICE IN THE PRIOR 12 MONTHS].

  1. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Kent County, Michigan, and you consent to personal jurisdiction in such courts.

  1. Changes to These Terms

We reserve the right to modify these Terms at any time. Notice of material changes will be provided via SMS or other reasonable means. Continued receipt of messages after notice of changes constitutes your acceptance of the updated Terms.

  1. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
